Solar Industries, through its wholly owned step-down subsidiary Solar SA Investments, has announced the acquisition of South Africa's Omnia Holdings in an all-cash transaction valued at approximately USD 1.355 billion (Rs 12,951 crore). The acquisition, subject to customary closing conditions, including regulatory and shareholder approvals, is expected to be completed by early to mid-2027.
The acquisition is poised to drive commercial growth and operational efficiencies for Solar Industries by leveraging technology innovation, broader customer coverage, and enhanced supply chain resilience. Upon completion, Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets securities exchange.
This strategic move will create one of the largest integrated explosives and blasting solutions platforms globally, expanding Solar Industries' manufacturing capabilities and market reach. The deal is a significant step in Solar Group's ambition to become a global leader in explosives and blasting solutions.
“Omnia is a business we have long admired for the strength of its Mining and Agriculture businesses.”
Manish Nuwal, Managing Director and CEO of Solar Group
In 2024, Solar Industries had already strengthened its South African presence by acquiring ProBlast, a local company specializing in open-cast mining and explosives services. The acquisition of Omnia represents the next strategic step in Solar Group’s growth journey in the SADC region.
Omnia Holdings, a diversified chemicals company, reported a revenue of USD 1.41 billion for the financial year ended March 31, 2026. The company supplies chemicals and specialized services to the mining, agriculture, and chemicals application industries.
Background
The acquisition follows Solar Industries' 2024 purchase of ProBlast, enhancing its presence in South Africa. This move aligns with Solar's strategy to expand its operational capabilities in the SADC region, positioning itself as a leader in the global explosives market.
The acquisition is expected to significantly enhance Solar Industries' operational, manufacturing, and distribution capabilities in strategically important mining jurisdictions. Investors and stakeholders will be keenly watching the integration process and its impact on Solar Industries' financial performance.
